Terms of service

These Terms of Service (the "Terms") apply to your use of renellence.com (the "Site") and to every order you place with Renellence Inc. ("Renellence", "we", "us" or "our"), 75 Scarsdale Rd, Unit 202, North York, Ontario M3B 2R2, Canada. By using the Site, applying for an account or placing an order, you agree to these Terms. If you are accepting them on behalf of a clinic or company, you confirm that you are authorized to bind it, and "you" means that clinic or company.

1. Who we serve

Renellence is a Canadian distributor of medical aesthetic products. We sell only to licensed healthcare professionals, and to clinics and companies that employ them, who are legally permitted to buy, possess and administer the products they order. We do not sell to the public.

To open an account, you must apply and provide the professional and business information we ask for, including proof of your licence. We may verify that information with the relevant regulatory college or other sources, and we may approve, refuse, suspend or close an account at our discretion. You must tell us promptly if your licence, scope of practice or business details change.

2. Professional use

The products we distribute include medical devices licensed by Health Canada. They are intended for administration only by qualified practitioners acting within their scope of practice, in accordance with the manufacturer's Instructions for Use (IFU), applicable professional standards and the law of your province or territory.

Product information on the Site, in our materials and from our team is general information for healthcare professionals. It is not medical advice and does not replace your own clinical judgement or the IFU. You are solely responsible for patient selection, consent, treatment and aftercare.

3. Orders

Orders are placed through your Renellence representative. An order is accepted only when we confirm it in writing, for example by sending an invoice or order confirmation. We may decline or limit any order, including where a product is unavailable, where we cannot verify your eligibility, or where we believe the order breaches these Terms.

Product descriptions, images and specifications are provided in good faith and may change as manufacturers update their products. If a product becomes unavailable after you order, we will tell you and offer a substitute, a later delivery date or a refund of any amount paid for that product.

4. Prices and payment

Prices are in Canadian dollars and do not include applicable taxes or shipping, which are added to your invoice. We may change prices at any time, but a change will not affect an order we have already accepted.

We accept payment by credit card kept on file with us or by wire transfer, as shown on your invoice. You authorize us to charge the card on file for orders you place. Invoices are due on the terms stated on them, and we may hold further orders until your account is up to date.

5. Shipping, delivery and storage

We ship within Canada only. Shipping rates, delivery times and our cold-chain handling are described in our Shipping Policy. Risk of loss passes to you on delivery to the address on your order. Title passes to you when we receive payment in full.

From delivery onward, you are responsible for storing and handling products as the manufacturer directs. Please inspect every delivery on arrival and report any problem within 48 hours, as set out in the Refund Policy.

6. Returns and refunds

Because many of our products are temperature-controlled medical devices, returns are limited. Our Refund Policy explains what can be returned and how.

7. Authorized supply chain

Renellence is the authorized Canadian distributor of the brands identified on the Site. To protect patients and product traceability, you agree that you will:

  • buy the products for use in your own practice, and not resell, redistribute or export them without our written consent;
  • keep products in their original packaging until use, and not alter, relabel or repackage them;
  • keep records of the lot numbers you receive and administer, so that products can be traced if needed; and
  • report to us any product you believe may be counterfeit or from an unauthorized source.

8. Complaints, adverse events and recalls

Please report any product complaint, suspected defect or adverse event to us promptly at info@renellence.com, with the product name, lot number and a description of what happened. We may share this information with the manufacturer and Health Canada as required by law. If a product is recalled, you agree to follow our instructions and the manufacturer's, including by quarantining and returning affected stock.

9. Intellectual property

The Site and its content, including text, images, video and design, are owned by Renellence or its licensors. Saypha®, Croma and other product names and logos are trademarks of their respective owners and are used with permission. You may use Site content only to evaluate and order products for your practice. Any other use requires our written consent.

10. Use of the Site

You agree not to misuse the Site, including by attempting to gain unauthorized access to it or to any account, interfering with its operation, introducing malicious code, or collecting data from it by automated means. We may suspend access to the Site or any account at any time to protect our systems or our customers.

11. Warranties

Products are supplied with the warranties, if any, given by their manufacturer. We will pass on the benefit of those warranties to you. To the extent permitted by law, we give no other warranties or conditions, whether express or implied, including any implied warranty or condition of merchantability or fitness for a particular purpose. The Site is provided "as is", and we do not guarantee that it will be uninterrupted or error-free.

12. Limitation of liability

To the extent permitted by law, Renellence will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, arising from the Site, these Terms or any product. Our total liability for any claim relating to an order is limited to the amount you paid for the products that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You will indemnify Renellence against claims, losses and costs, including reasonable legal fees, arising from your administration or use of products, your breach of these Terms, or your breach of any law or professional obligation.

14. Privacy

Our Privacy Policy explains how we collect and use personal information.

15. Changes to these Terms

We may update these Terms from time to time. The version posted on the Site when you place an order applies to that order. Continuing to use the Site or place orders after an update means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario sitting in Toronto have exclusive jurisdiction over any dispute arising from them.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver. Any written supply agreement signed between you and Renellence prevails over these Terms where they conflict.
